The different types of companies include, but are not limited to:

Private Companies - (Pty) Ltd

These companies are held under private ownership. They cannot offer securities to the public, and the transfer of their shares are also restricted.

Personal Liability Companies - (Inc)

All directors of Personal Liability companies are jointly and severally liable, together with the company, for any debts and liabilities that arise during their position in office.

Public Companies (Ltd)

These companies trade their securities and shares on a regulated stock exchange listing.

Non-profit Companies (NPC)

These companies operate for public benefit, or have objectives relating to one or more cultural or social activities with communal or group interests. The incorporators, members, directors, or persons are prohibited from property and income distributions.

Annual Returns

Annual returns are the calculated yearly fees you pay to companies intellectual and property commission to keep the company active.

 

VAT Registration

Be able to list your company with the government as active in production and sales. VAT registered companies add VAT to their sales invoices and can reclaim any VAT included in the items they have bought. If you are not VAT registered you still have to pay the VAT on your purchases but are unable to reclaim it.

Company Directors Charge

These charges are calculated by the annual fees paid by any employer as compensation for serving on the board of directors. You can also add, remove or update any of your company’s directors.

Tax Clearance Certificate (Pin)

This Pin is issued by SARS as proof that a person or company is ‘cleared’ with them and is 100% compliant with no overdue payments.

Company Address Change

Be able to change your registered company’s address.

Import/Export Licence

Get permission from government to be able to undertake any export or import activity in goods that is currently restricted.

Company Name Change

Be able to change your company’s name.

PAYE Registration

Every employer needs to register with SARS within 21 business days after becoming an employer, unless none of your employees are liable to pay normal tax. This is compulsory. You are required to pay tax if you earn a salary of R6950 per month and are younger than 65.

UIF Registration

It is a law to register your company with the Unemployment Insurance Fund (UIF) and contribute towards this fund if you have employees that work for more than 24 hours per month.

 Company Tax Returns

This is a legal requirement for all registered companies to submit a company tax return on an annual basis, within 12 months after the company’s year end.
